End User License Agreement

1. Agreement
This End User License Agreement ("EULA") is a legal agreement between you ("User") and TumorBD ("Licensor") governing your use of the TumorBD platform, including the web application at app.tumorbd.com, its AI agents, tools, and all associated services (collectively, the "Software"). By accessing or using the Software, you agree to be bound by this EULA.
2. License Grant
Subject to your compliance with this EULA, the Licensor grants you a:
- Non-exclusive -- the same Software is licensed to other users.
- Non-transferable -- you may not transfer your license to another person or entity.
- Revocable -- the Licensor may terminate this license as described in Section 8.
- Limited -- restricted to web-based access to the Software for your professional use as a qualified healthcare professional.
This license does not grant you any rights to download, install, or locally host the Software or any of its components.
3. Restrictions
You agree that you will not:
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, or AI models used by the Software.
- Copy, redistribute, sublicense, lease, sell, or otherwise transfer the Software or access to it to any third party.
- Use the Software for any unlawful purpose or in violation of any applicable laws or regulations.
- Attempt to circumvent any access controls, security measures, or usage limits of the Software.
- Use automated scripts, bots, or other tools to access or interact with the Software, except through its intended interfaces.
- Use the Software to develop or train competing AI models or services.
- Remove, alter, or obscure any proprietary notices, labels, or marks on the Software.
- Misrepresent AI-generated outputs as human-authored clinical opinions or recommendations.
4. Decision-Support Disclaimer
You expressly acknowledge and agree that:
- The Software is a decision-support tool only. It is not a medical device, and it does not provide medical advice, diagnosis, or treatment recommendations.
- All outputs, analyses, reports, and suggestions generated by the Software are produced by artificial intelligence systems. These outputs are probabilistic and may contain errors.
- The Software uses multiple AI agents that may produce conflicting assessments. Such conflicts do not represent definitive clinical disagreement and must be interpreted by qualified professionals.
- You must independently verify all outputs before applying them in any clinical context.
- The Software does not replace the standard of care, clinical guidelines, or professional medical judgment required in your jurisdiction.
- No doctor-patient relationship is created through the use of the Software.
5. AI-Generated Content
The Software generates content using artificial intelligence models, including but not limited to text analyses, imaging interpretations, treatment option summaries, and research digests. You acknowledge that:
- AI-generated content reflects patterns learned from training data and may not account for the most recent medical evidence or guidelines.
- AI models may produce outputs that appear confident but are factually incorrect ("hallucinations").
- The quality of AI outputs depends in part on the quality and completeness of the data you provide.
- Generated PDF reports and summaries carry a "Decision-support only" disclaimer and must not be used as standalone clinical documents without professional review and endorsement.
6. Intellectual Property
The Software, including all AI models, algorithms, source code, user interface designs, documentation, and trademarks, is the exclusive property of the Licensor or its licensors and is protected by intellectual property laws. This EULA does not transfer any ownership rights to you.
You retain ownership of all data you upload to the Software. By uploading data, you grant the Licensor a limited, non-exclusive license to process that data solely for the purpose of providing the Service to you.
7. Limitation of Liability
To the maximum extent permitted by applicable law:
- The Licensor shall not be liable for any clinical outcomes, patient harm, or medical decisions made based on or influenced by the Software's outputs.
- The Licensor shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill.
- The Licensor's total aggregate liability under this EULA shall not exceed the fees paid by you for the Software in the twelve (12) months preceding the event giving rise to the claim.
- The Software is provided "as is" without warranty of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement.
8. Termination
This EULA is effective until terminated. It may be terminated under the following conditions:
- By you: You may terminate this agreement at any time by ceasing use of the Software and deleting your account.
- By the Licensor: The Licensor may terminate this agreement immediately if you breach any provision of this EULA, or at any time with reasonable notice for any reason.
- Effect of termination: Upon termination, your right to access and use the Software ceases immediately. The Licensor will handle your data in accordance with the Privacy Policy.
Sections 4 (Decision-Support Disclaimer), 5 (AI-Generated Content), 6 (Intellectual Property), and 7 (Limitation of Liability) shall survive termination of this EULA.
9. Updates and Modifications
The Licensor may update the Software and this EULA from time to time. Continued use of the Software after changes to this EULA constitutes acceptance of the revised terms. Material changes will be communicated via the email address associated with your account.
10. Governing Law
This EULA shall be governed by and construed in accordance with applicable law, without regard to conflict of law provisions. Any disputes arising under this EULA shall be resolved through good-faith negotiation and, if necessary, through binding arbitration or in the courts of competent jurisdiction.
11. Severability
If any provision of this EULA is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
12. Entire Agreement
This EULA, together with the Terms of Service and Privacy Policy, constitutes the entire agreement between you and the Licensor regarding the use of the Software and supersedes all prior agreements and understandings.
